These Terms of Use govern access to and use of SEOExperts, including its rankings, agency profiles, research, software, dashboards, sponsored placements, submissions, communications and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.
SEOExperts is operated under the trade name SEOExperts by Formigo LLC (“SEOExperts,” “we,” “us,” or “our”).
SEOExperts publishes editorial and data-driven rankings under a disclosed methodology. Rankings, scores, badges, category positions and profile eligibility are comparative evaluations for the stated ranking period and scope. They are not universal statements of objective superiority, guarantees of quality, or predictions of future performance.
SEOExperts may add, remove, reclassify or re-rank agencies as data, eligibility, methodology, category definitions, evidence or editorial judgments change. Inclusion in one ranking period does not create a right to continued inclusion.
Payment for advertising, sponsorship, an enhanced profile, software, lead generation, verification review or other commercial services does not purchase or guarantee an organic ranking position.
Commercial placements are separated from organic rankings and labeled as advertising, sponsored, complimentary featured placement, or affiliated house sponsorship as applicable. Allinclusive is an affiliated business and may receive house-sponsored placement where relevant. Such placement is not an organic ranking position.
Agency profiles may be created from public business information, third-party data, agency submissions and SEOExperts research. If you claim or submit information for an agency, you represent and warrant that you are authorized to do so and that the information you provide is accurate, non-misleading and does not infringe another party’s rights.
You grant SEOExperts a non-exclusive, worldwide, royalty-free license to host, reproduce, format and display content you submit for purposes of operating, promoting and improving the Services. You retain ownership of your content.
SEOExperts may edit formatting, reject unsupported claims, request substantiation, suspend a profile, remove content or decline publication when reasonably necessary for accuracy, safety, legal compliance or editorial integrity.
Submission, claiming, subscription, sponsorship or purchase does not guarantee inclusion in the Top 100, the public ranked universe, any category ranking, any particular traffic level, search-engine visibility, lead volume, revenue or business outcome.
You may not use the Services to submit false or deceptive information, impersonate another person or business, manipulate rankings, interfere with platform operation, scrape or copy the Services at scale in violation of applicable law or technical restrictions, introduce malware, attempt unauthorized access, or infringe intellectual-property or privacy rights.
SEOExperts owns or licenses the platform software, original rankings, methodology text, editorial content, original research, compilations, design elements and trademarks used in the Services, subject to third-party rights in agency names, logos, marks and submitted materials. No license is granted except as expressly stated in these Terms.
Third-party company names, logos, trademarks and service marks belong to their respective owners. Their appearance does not by itself imply endorsement, sponsorship or affiliation. Third-party websites and services are outside SEOExperts’ control, and SEOExperts is not responsible for their availability, content, security or practices.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SEOEXPERTS DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY AND RESULTS. SEOEXPERTS DOES NOT WARRANT THAT THIRD-PARTY DATA, RANKINGS OR PROFILES ARE ERROR-FREE OR CURRENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEOEXPERTS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATING TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEOEXPERTS’ AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SEOEXPERTS FOR THE APPLICABLE SERVICE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.
If you submit, claim or manage agency content, purchase advertising, or use the Services on behalf of a business, you agree to defend, indemnify and hold harmless SEOExperts and its affiliates from third-party claims, liabilities and reasonable costs arising from your submitted content, your breach of these Terms, your violation of law, or your infringement of another party’s rights, except to the extent prohibited by applicable law.
Pricing, billing period, renewal terms, sponsorship scope, inventory, start and end dates, cancellation rights and refund terms will be disclosed at purchase or in the applicable order form. A commercial placement is valid only for its stated scope and term. Expiration of a sponsorship does not affect organic ranking eligibility.
Agencies may request correction of factual information under the Corrections & Ranking Review Policy. SEOExperts does not accept payment for factual corrections or organic ranking changes. A disagreement with methodology, weighting or editorial judgment does not by itself establish a factual error.
SEOExperts may suspend or terminate access to the Services, remove submitted content or decline a commercial relationship where reasonably necessary for security, fraud prevention, legal compliance, abuse prevention, nonpayment or material breach of these Terms.
SEOExperts may revise these Terms prospectively. The “Effective” date identifies the current version. Material changes affecting paid subscriptions may be communicated through the account, website or email where appropriate.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. Subject to applicable law, exclusive venue for disputes that are not otherwise subject to a separately agreed dispute-resolution procedure will lie in Sheridan County, Wyoming.
If any provision is unenforceable, the remainder remains in effect to the extent permitted by law. Failure to enforce a provision is not a waiver. These Terms, together with applicable order forms and incorporated policies, form the agreement regarding the Services.
